- The Associate Counsel - Contracts is an early-career licensed attorney responsible for supporting the drafting, review, redlining, negotiation, and management of a broad range of commercial agreements on both the customer and vendor sides of transactions.
- Reporting to the Senior Contract Attorney, the role works closely with the legal team and business stakeholders to support timely contract preparation, practical problem resolution, and compliance with contractual obligations.
- Responsibilities include drafting, reviewing and negotiating routine and moderately complex commercial agreements using company templates and guidance; participating in written and verbal negotiations; reviewing common commercial terms (indemnification, limitation of liability, termination, IP, confidentiality, privacy and data protection, security); maintaining communication with senior legal staff regarding risk and escalation; working with business stakeholders to translate commercial objectives into contract terms; supporting contract lifecycle from intake through execution including recordkeeping and status tracking; using contract management systems and AI-enabled legal technology; conducting legal research; exercising sound judgment and contributing ideas to improve templates, processes, and efficiency.
